Governance and Bylaws
The Governance and Bylaws Committee is responsible to review resolutions related to the governance of the Association, amendments to the Bylaws, and the Board Policies.
In fulfilling this charge, the Committee helps ensure that the Board of Directors is fulfilling its role to represent the member boards in determining and demanding appropriate organizational performance through its written governing policies.
Specifically, the Committee shall:
1. Initiate or respond to questions about and proposals for amendments to the Bylaws. Forward proposed amendments and recommendations to the Board of Directors.
2. Initiate or respond to questions about and proposals for changes to Board Policies. Forward proposed changes to the Board of Directors for approval.
3. Establish a schedule that ensures a review and evaluation of the Board Policies every three years, conduct the reviews and recommend changes to the Board of Directors (Governance Policy 4.3).
4. Continue to monitor and provide direction for the process of adopting new policies and Bylaws that implement Policy Governance principles.
5. Conduct an evaluation of its own effectiveness and operations.
6. Report and make recommendations to the Board of Directors.
The Governance and Bylaws Committee shall be composed of three or more members. The committee is responsible to review those resolutions related to the governance of the Association, amendments to the Bylaws, and Board Policies. Committee appointments are approved by the Board of Directors annually.
